PRISCILLA ARTHUS is an associate in Sidley?s Houston office. Her experience includes structured finance, corporate finance and real estate transactions, with an emphasis on the energy industry.
Prior to joining Sidley, Priscilla represented (i) financial institutions and borrowers on a variety of financing transactions, including asset-based lending and real estate finance transactions and (ii) companies in a broad range of industries with the development and disposition of real estate, as well as in corporate acquisitions, divestitures, mergers, reorganizations, bankruptcy and general corporate matters. Priscilla also served a two-year term as a Judicial Law Clerk for Honorable Arenda Wright Allen in the United States District Court for the Eastern District of Virginia.
Priscilla earned her J.D. from University of Virginia School of Law, where she was an editor of the Virginia Journal of Social Policy & the Law and received the University of Virginia School of Law Dean?s Merit Scholarship. Prior to law school, Priscilla practiced as a certified public accountant for a Big Four accounting firm, with a focus on audit. Priscilla graduated with a Masters in Accounting and a B.S. in Accounting and Finance, magna cum laude, from University of South Florida.
Prior to joining Sidley, Priscilla worked on the following representative matters:
Represented a leading integrated power company in connection with a sale of multiple generating stations to an energy investment group, with an aggregate purchase price of approximately $425 million.
Represented a full-service air, ocean, customs brokerage and logistics company in its $110 million acquisition of a leading management company of high-volume retail, restaurant and hotel remodels, and the related financing.
Represented various financial institutions, as lender, in asset-based lending transactions.
Represented middle market lender in multiple loans to manufacturer of blast-resistant modular buildings and its affiliates for the acquisition of specific modular buildings.
Represented a technology company in executing a definitive agreement involving 26 jurisdictions to sell its commercial end-to-end managed satellite and terrestrial communications division for a cash purchase price of $425 million.
Represented international investment management company as collateral trustee in connection with a $75 million revolving credit facility entered into by a Pittsburgh-based casino and the issuance of $415 million of senior secured notes.
Represented public bank holding company in its $130.6 million acquisition of a bank.
Represented an oil field services company, as a buyer, in $18.2 million acquisition of an aftermarket services business.
Represented appellee in successful dismissal of fraudulent transfer appeal.
Represented additive supplier, as a creditor, in Chapter 11 bankruptcy proceedings.
Represented national retail pharmacy in the ongoing disposition and leasing of properties in connection with the acquisition of a regional retail pharmacy chain.
Assisted children with Special Immigrant Juvenile Status petitions to obtain lawful presence and permanent residence in the United States.
Assisted victims of domestic violence in U Visa petitions through a pro bono partnership.
Co-authored a report on gender-based violence against women living in internally displaced persons camps in Port-au-Prince, Haiti and the lack of legal remedies available to rape survivors. Published Report submitted to MADRE, an international human rights organization.
Co-authored women?s rights declarations for the UN Special Rapporteur concerning violence against women to be submitted to the governments of Iran, Kazakhstan, and South Africa.
