# JOB DESCRIPTION: FRACTIONAL LEGAL COUNSELOR

## Position Summary
We are seeking a highly sophisticated, detail-oriented **Fractional Legal Counselor** to provide dedicated legal oversight, structural compliance, and litigation support. This is a **fractional, fully remote position**. The ideal candidate may maintain their existing position or partner track with their current law firm while dedicating fractional billable hours to managing our expanding domestic and global legal portfolio.
## Key Responsibilities

**SEC Compliance & Filings:** Review, optimize, and manage ongoing regulatory filings, specifically supporting our current Regulation 1-A $360,000 Debt Issuance. Filings to be amended up to $20 Million over 1-year period.

**Formal Legal Opinions:** Issue the SEC-mandated legal opinion validating that the transactional documents filed under Regulation 1-A constitute a "legally binding contract" under applicable law to successfully clear the capital raise.

**Securities Litigation & Asset Protection:** Draft, review, and advise on high-stakes securities litigation, including the preparation of a strategic **Writ of Mandamus** framework across multiple local, state, and federal jurisdictions to safeguard institutional infrastructure.

**Corporate Surveillance & Digital Security Advocacy:** Advise on corporate governance and coordinate immediate legal remedies—including protective orders and injunctive relief—against severe third-party liabilities, including SIM-card swapping, communication interception, and unauthorized digital interference.

**International Transactional Engineering:** Provide high-level advisory on complex, large-scale global securities transactions, specifically dealing with Asset-Backed Securities (ABS) in the oil and gas sectors internationally.
## Position Structure & Flexibility
* **Location:** Fully Remote (Can be based out of any major U.S. city).
* **Commitment:** Fractional / Part-Time.
* **Firm Compatibility:** Designed explicitly to allow practicing attorneys to maintain their current employment, practice, or firm alignment while advising Harlem Park Partners, Inc. on an independent, fractional basis.
## Qualifications & Requirements

**Juris Doctor (J.D.)** from an accredited law school with an active license to practice law in good standing with a state Bar Association.
* Strong foundational background in corporate law, financial engineering, SEC compliance (Regulation 1-A, debt/equity structures), and securities litigation.
* Experience or strong technical literacy in emerging technologies, market capitalization calculations, and digital asset structures is highly preferred.
* Exceptional analytical writing skills capable of drafting rigorous complaints, petitions, and corporate opinion letters.
