As a member of the Kemper Corporate Legal Department in our Chicago headquarters, this attorney will work on a broad range of insurance regulatory matters for a publicly-traded insurance group, including advising on holding company act compliance, investments, financial transactions, regulatory approval requirements, and managing subsidiary corporate governance. This role will also oversee governance structures, creation and maintenance of documents related to legal entity maintenance and management of corporate entity data.
Key Areas of Responsibility
- Manage regulatory filings for holding company matters, transactions and various business operations
- Collaborate with other team members and business partners in responding to regulatory audits and examinations
- Support complex finance transactions, including compliance with insurance regulatory requirements, drafting related agreements and managing regulatory filing and approval process
- Collaborate with treasury, investments, tax and other finance teams regarding capital markets, banking and investment matters, intercompany agreements, internal controls and other issues that arise
- Negotiate commercial contracts with a broad range of counterparties, including banks and other financial market players, and provide guidance on related legal issues and risk mitigation strategies
- Monitor developments related to holding company compliance and other legal and regulatory developments affecting the insurance industry and the company
- Oversee entity management process, including subsidiary board and shareholder meetings and consent approval process
- Manage support team and promote culture of compliance and good corporate governance
- Lead or participate in special projects and perform other duties as requested
Qualifications
- JD degree and licensed to practice law in Illinois or with ability to obtain Illinois in-house law license
- 6-10 years of legal experience at large law firm or as in-house counsel
- Insurance industry background and holding company experience
- Background in financial transactions and corporate governance preferred
- Able to work independently and collaborate with colleagues across the organization
- Excellent verbal and written communication, problem-solving and analytical skills
- Comfortable in fast-paced environment and adapting to changing priorities and technologies
- Ability to produce high quality work under deadline pressures
- Highly-driven and self-motivated
- Team player able to build relationships with Legal Department colleagues and internal business partners
