Senior Corporate
Securities Lawyer
Position Summary
Virgin Orbit is seeking
a new member of our team to serve as Securities Counsel with strong experience
in (1) drafting and reviewing regulatory documents required for filing with
the Securities
and Exchange Commission (the “SEC”), (2) managing corporate governance and
updating and drafting policies and procedures for compliance with NASDAQ and
SEC regulations and requirements, and (3) reviewing corporate communications
including communications with investors, disclosures, press releases, marketing
materials, and investor presentations. The role will also involve working on general
corporate matters on the Legal team. You must be a creative thinker and an
effective writer who is willing to learn, understand and advocate passionately
for our business. You will work with smart, dedicated professionals who are
building a world-changing business and will value your legal guidance and
input. You will have the opportunity to grow and stretch your skills as our
business grows. An academic or professional background in science or
engineering or work experience in the aerospace or aviation industry would be
helpful but is not required. This role is for a hands-on person with great
attention to detail and excellent people skills. This is a full-time position
at our rocket factory in beautiful Long Beach, California.
Your Mission
- Your primary
responsibility would be to ensure our compliance with applicable
securities laws and stock exchange regulations, prepare and review SEC
filings including registration statements and Forms 10-K, 10-Q and 8-K,
and review and advise on internal and external corporate communications
- This activity will consume
about 70% of your time
- For the remaining 30%,
you would:
- Lead or assist with
general corporate matters in the Legal Department, including M&A,
financing, investment and other partnering projects to help us bring new
products and services to market
- Negotiate of our launch
service agreements with customers
- Conduct legal support
and analysis in our responses to RFPs from potential customers (including
NASA and commercial operators)
- Work on projects such
as the development of new spaceports around the world and licensing
arrangements in foreign jurisdictions
- Help Virgin Orbit do our part to
make the world a better place
- Constantly learn new things—and
share them with your team members
- Perform other duties assigned
What you bring
If you want to join us, you’d
better have all of these…
- Juris Doctor (J.D.)
degree.
- Current membership in
the State Bar of California
- 5-8 years’ relevant
securities law and public company reporting experience in a high-caliber
law firm or comparable corporate environment
- Experience structuring,
negotiating and drafting a broad range of corporate transaction
agreements, including mergers, acquisitions, joint ventures and strategic
partnerships; financing agreements; shareholder and investor
agreements; corporate governance documents, from bylaws and operating
agreements to written consents; and general contracts for business
development, procurement, marketing, technology development,
confidentiality agreements, software licensing and services
- Demonstrated ability to
(i) identify and raise salient issues, (ii) draft language and propose
various options that take into account relevant strategic or business
goals, and (iii) communicate issues, risks and solutions clearly and
concisely to lawyers and non-lawyers alike
- Experience dealing with
diverse constituencies and external parties (customers, board members,
investors, senior management, regulators and external counsel)
- A willingness to learn
the technical, market and customer objectives of our business, in order to
provide business-oriented legal advice
- Proven ability to handle
multiple projects and assignments simultaneously, without significant
direct supervision from a senior attorney, and still meet high quality and
timeliness standards
- Sound judgment and a
commitment to ethical conduct
- Excellent verbal and
written communications skills
- Strong academic
credentials
- Must be a U.S. person as
defined by the ITAR (22 CFR §120.15)
- Passion for space
exploration and a firm belief in the utility of affordable access to space
- Ability and desire to
perform in a fast-paced, rapidly changing work environment
- Self-driven, highly motivated, and committed to improvement,
inter-team communication skills, and attention to detail
- Must
be able to provide proof of US-approved Covid-19 full vaccination status,

ITAR Requirements
To conform to U.S.
Government space technology export regulations, applicant must be a U.S. citizen,
lawful permanent resident of the U.S., protected individual as defined by ITAR
(22 CFR §120.15) or eligible to obtain the required authorizations from the
U.S. Department of State.
