Open Position:
We are seeking a detail-oriented individual with strong organizational skills and a passion for delivering top-notch legal services to join our team as a General Practice Associate Attorney. We welcome applicants with varying levels of experience in Transactional & Litigation practices, offering compensation based on experience level.

Key Responsibilities:

Litigation:

Draft answers, pleadings, discovery requests, motions, orders, correspondence, etc.
Conduct research and write memoranda as requested
Provide input on case strategy and management
Court appearances including 2nd chair on trials
Prepare clients for, defend, and take depositions
Ensure courtesy copies are sent and are timely
Probate:

Prepare for and appear on daily probate call when asked
Real Estate:

Actively communicate with clients frequently
Review real estate contracts, making all necessary legal modifications to protect the client's interests, and discuss any questions the client may have
Draft contracts for non-broker transactions
Conduct negotiations on the client's behalf during the attorney approval period
Monitor and track deadlines and contingencies
Explain deadlines and contingencies to clients
Order pre-closing materials such as 22.1s, Payoffs, and municipality specific materials such as city stamps, water readings, tax bills
Examine historical ownership records, publicly available documents and information, and order title insurance commitment
Review and understand commitment terms to determine existing and potential clouds on title, and which clouds must be cleared prior to closing
Coordinate with title company to clear title; work independently to clear items title company is unable to clear
Review and prorate taxes for closings
Draft post-closing agreements such as post-closing possession, tax reprorations, etc.
Draw up closing figures
Prepare closing documents such as Powers of Attorneys, Deeds, Bills of Sale, Affidavits of Title, Tax Declarations and title company specific paperwork
Coordinate and schedule closings
Attend closing to ensure compliance with the contract and loan documents
Handle post-closing disputes
Supervise and work closely with real estate paralegal on transaction management, delegating any administrative work to paralegal as necessary
Corporate:

Actively communicate with clients
Organize/Incorporate LLCs, Corporations and Non-Profits in IL and Delaware
Obtain Tax Exempt Status for Not for Profits and register them with the AG
Draft Operating Agreements
Draft Resolutions/Minutes
Review Contracts
Draft Contracts such as Independent Contractor Agreements, Service Agreements
General:

Provide support to other associates
Affirmatively learn court procedures, caselaw, statutes, and other unfamiliar areas
Affirmatively communicate regarding status on active matters
All billable time entered contemporaneously – 1600 billable hour requirement
All hours, commissions and related payroll information entered contemporaneously
Stay abreast of new developments in all practice areas
Monthly review of files to open/close matters
Research/Writing as Requested
