Legal Counsel, IT/IP

We have an opportunity available for a Legal Counsel, IT/IP to join our General Counsel’s Office. Responsibilities will be primarily directed toward supporting the Product, Technology and Procurement organizations, including the drafting and negotiation of various technology agreements and strategic protection of the company’s intellectual property. The position will be based in Minneapolis, MN; Dallas, TX; or Toronto, ON.

About the Role

In this opportunity as Legal Counsel, IT/IP, you will:

    Advise on legal issues related to the full technology lifecycle, from procurement, development, and implementation/deployment for both (i) enterprise technology and (ii) core products offered and developed by lines of business
    Provide legal advice and counsel to members of the Technology and Procurement organizations related to complex, global commercial agreements (with a focus on technology) on a global basis
    Draft, review and negotiate complex, global commercial agreements, including master agreements, technology acquisition and services engagements addenda, statements of work, work orders, service and maintenance schedules, amendments, settlements, NDAs, data protection agreements and related project documentation
    Advise on legal issues relating to trademark, copyright and AI/Machine Learning
    Provide technology and intellectual property due diligence support with respect to acquisitions, including evaluation of third-party technology and intellectual property
    Support technology and intellectual property related litigations and disputes
    Provide assessment and advice on open-source software issues

About You

You’re a fit for the role of Legal Counsel, IT/IP, if your background includes:

    Member of a State bar in good standing
    3+ years’ experience in a large firm and/or corporate setting specializing in IT/IP law
    Experience drafting, negotiating, and advising on complex technology transactions
    Experience with commercial licensing agreements, both inbound and outbound
    Ability to collaborate on multiple cross-functional projects
    Ability to think strategically and creatively to identify and resolve legal issues
    Excellent communication, organization, and analytical skills, and an aptitude for problem-solving
    Ability to learn new skills and to adapt to changing business compliance needs
    Ability to work effectively as part of a diverse team
