We are seeking a Senior Counsel Attorney for our client in beautiful Cedar Rapids, Iowa. Our client specializes in insurance and financial strategies. We are not looking for a typical attorney who works in a law firm and practices a specific discipline (e.g., tax law, real estate law, etc.). Rather, we seek an attorney who has broad experience in business operations counsel, who can represent over 70 stakeholders in the organization on the legal and financial implications of various business-related transactions; who possesses the black and white transactional and technical skills, but also understands sales and has good people skills.

YOUR PRIMARY REPSONSIBILITIES
As Senior Counsel, you will report to the General Counsel, and work with other in-house attorneys, engaging directly with individuals in various business units and operational departments. Below are many of the responsibilities you will have:
- Analyze sophisticated corporate entity structures and relationships in order to make appropriate legal recommendations regarding the same
- Learn, understand and advise on current sophisticated legal entity structure
- Learn and/or keep current with developments in the field of specialty to ensure compliance
- Draft, review, and provide advice regarding a wide range of legal entity documentation for corporations and LLCs
- Draft, negotiate, review, and provide advice regarding our internal operating agreements amongst our various business units and producers
- Draft, negotiate, review, and provide advice regarding a wide range of business agreements and documents such as: commercial contracts, third-party agreements, vendor contracts, and commercial leases
- Draft, review, negotiate, and collaborate with our business teams on all aspects of service agreements, non-disclosure agreements, statements of work, and other Company agreements
- Understand and apply basic corporate finance and tax principals to corporate transactions
- Draft, review, and advise on corporate policies
- Coordinate and assist with development and implementation of efficient business processes around compliance, contracts, claims, litigation, carrier and broker agreements, and corporate documents
- Manage projects to ensure timely completion, effective communication, documentation, and implementation
- Assist in management and further development of members of the legal staff
- Perform other duties, as assigned, appropriate to the position
EXPERIENCE REQUIRED
- A Juris Doctorate (JD) degree from an ABA-accredited law school, and a good standing member of the state bar
- 5-8 years of general corporate, mergers & acquisitions, corporate governance and other transactional experience
- Strong background in all aspects of corporate transactions and commercial contracts
- Must have very strong organizational, collaboration, and time management skills, as well as the ability to handle numerous projects and deliverables simultaneously.
- Experience in business operations calling for multiple legal skills, as opposed to a specialized discipline
