Yolanda focuses her practice on U.S. and international capital markets transactions. She advises corporate and sovereign issuers, financial sponsors and investment banks on a broad range of offerings, including initial public offerings, follow-on equity offerings, and investment-grade debt offerings under Rule 144A, Regulations S and other private placements as well as SEC-registered offerings.
In addition to transaction work, Yolanda counsels clients on U.S. securities law compliance, including SEC periodic reporting, Section 13 requirements, securities transfer issues and corporate governance matters. Her experience spans various industries and geographies, providing clients with comprehensive legal support in navigating complex capital markets.
Committed to pro bono work, Yolanda has devoted her time to matters involving voting rights and election protection as well as international human rights matters for displaced persons.
